Copyright; Fee structure; Project changes; General;

Copyright of all material on the website 'peterfrezzini.com' is not to be reproduced in any manner unless permission is directly granted through authorised communications. If content is to be shared based on the nature of proliferation or distribution with attribution, permission is granted by the website owner. Permission is expressly denied if; the purpose is to breach copyright law by transforming or plagiarizing the content; if the use of a copyrighted work tends to diminish or prejudice the potential sale of the work; if it interferes with the work’s marketability; or if it reduces the demand for the work. This includes any access, interaction, training, sampling, reproduction, recreation, or development by; Artificial Intelligence, Machine Learning Modules, Large Language Modules, Data Scraping Algorithms.

In accordance with the Australian Copyright Act (1968), ‘licensing of copyright is subject to a mutual agreement made between client and designer’. All work carried out in a professional manner is held under copyright, including all drafts, concepts and ideas generated throughout the duration of the project, until accounts are paid in full, unless negotiated otherwise in writing.

By supplying artwork, image, text or data, the client accepts that they hold full copyright and trademark privileges for supplying and the use of the content. Copyright of said material will remain the property and responsibility of the client for the duration of the project, unless specified otherwise in writing.

All work carried out in a professional manner is reserved for use for self promotion and marketing purposes, including author links, search engine optimisation techniques and social media campaigns. Negotiation can be applied for in writing for limitations or delayed release.
All confidential client information will remain so unless otherwise specified.

Fee structure;

Projects running for over 4 weeks in length must be provided with a contract and project schedule. If paperwork is not provided the fee structure will be retainer based, and rates may fluctuate when compared to the quoted fee. Retainer fees do not rollover their allocated time.

Project-based accounts must provide an upfront payment of 50% of the quoted fee to secure the project. See Fee structure;P1 for extended length terms.

Hourly rate accounts will be reserved for ad-hoc alterations, projects overextending a retainer or contract, overtime, and rush jobs. Hourly rates will fluctuate based on projects and quotes are not guaranteed to be consistent over time.

Fee Quotations are valid for a period of 14 days, in which individual pricing may be subject to change. Quotations are an approximation and may vary under circumstance. Quotations are not interchangeable, are not to be used for price matching, and should not be used for referral purposes.

Production Files will be available digitally for up to a period of 30 days, at which a fee will incur for making original files available. Development Files will not be made available unless specified at the beginning of the project. Original files that are transferred physically via disk or drive, will incur a fee including postage & handling.

If a project contract is terminated prematurely by the client, all payments made will be forfeited in lieu of compensation to cover resources allocated and purchased, including time, assets and services. If a project is cancelled due to unforeseen circumstances, a refund will be arranged for the client if it is available.

Accounts must be paid in full within 14 days of invoice date unless specified otherwise. If accounts have not been finalised, final files will not be made available, digital material will not be deployed, and production of materials may be frozen. Accounts not finalised after 15 days of invoice date a late fee will be applied, with further penalties applied after 29 days.

If payment has not been received within 30 days and no contact has been made with the client, it will be assumed the client does not wish to finalise the account and steps will be taken to recover costs and legal action may be taken.

The costing models include Value Based, Cost-plus and Hourly, depending on the initial scope specified in the client engagement letter and/or outlined in the project contract and schedule. The specific formulae used is proprietary information and rights to withhold the information is reserved.

Australian General Service Tax is not applied to invoice unless otherwise stated.

Project changes;

All changes must be made within 3 days of project deadline or according to project schedule. Once a project is finalised a 14 day grace period will be given for changes relating to circumstantial or technical errors. Changes outside of these will be charged an hourly rate. Once a project is placed into the production phase, changes may not be available to be made without incurring the full production fee; this includes printing, web deployment, marketing campaigns and liaising with third party suppliers.

The following are separate entities and are not included unless otherwise specified. A logo, identity work, branding or related materials including content; A website, photography, copy writing, or related strategies; Digital design, development, deployment, and hosting. These may be included at a revised fee if applicable to the project.

General;

Liability for any failure or delay in supply or delivery of products/services where such failure or delay is wholly or partly due to any cause or circumstances whatsoever outside reasonable control will not be held. Including but not limited to war, natural disasters, strikes, lockouts, industrial disputes or unrest, government restrictions or transport delays, fire, power outages, failure attributable to hosting suppliers, breakdown of plant, theft, vandalism, riots, civil commotions, accidents of any kind or act of terrorism.

If project milestones are not met there can be significant quality losses to the any work undertaken that will severely impact the the budget, both in time spent and money. As a professional if these standards drop below my own personal principles I reserve the right to postpone or terminate projects until the issues are addressed. This includes client refusal to handover required tasks, documents, files, images, feedback, proposals, or other communications without prior agreement or contingencies in place.

Client business assets will not be held without an active project. This includes domain names, social media accounts, and ad hoc assets relevant to previous projects. Fees related to held assets will be the sole responsibility of the client to ensure accounts are in credit.

If domains and email accounts are not finalised by the due they may become unrecoverable. This WILL cause disruption with hosting and email services.
Responsibility is on the client to make sure this account either stays in credit or is paid when due.

No responsibility will be held for any errors contained in the final product after the final product has been approved by the client, approval may be given in writing, committed to print, or posted in view of the public. Notification of any errors is the sole responsibility of the client during the revision cycle and before the final files have been generated.

Clients are required to stay in contact during the duration of the project, in accordance to the contract and in line with the project schedule. The project schedule is recommend to predict communication times and availability of both parties for consultation.

Project files may be kept up to 5 years, and paperwork related to the project may be kept up to 7 years for copyright and legal purposes. Communications may be recorded and kept on record for analysis, training and operational streamlining purposes. Time tracking data may be recorded and kept on record for analysis, training and operational streamlining purposes.

Terms are negotiable until agreed upon in writing.
Terms and conditions can change without notice. If a contract is in progress, changes will be supplied to the parties involved, negotiable under circumstance.
